<p>Company Introduce:</p><ul><li>Our client is an industry leader and the business is growing rapidly</li></ul><p> </p><p>Managing and overseeing China's Ethics &amp; Compliance program:</p><ul><li>Contributing to the development, implementation and monitoring of compliance culture, procedures and processes, taking into account Company's global Ethics &amp; Compliance program (i.e. Code of Conduct, policies and guidelines) and local compliance policies and guidelines; related to topics such as Anti Bribery and Anti Corruption, Trade Sanctions and Export Control, Third Party Due Diligence &amp; Qualified Introducer Management, Privacy, Competition Law and Speak-Up (together with HR)</li><li>Privacy Officer responsibilities (i.e. registration of personal data processing activities and Data Privacy Impact Assessments).</li><li>Contributing to the continuous development of awareness (i.e. assisting businesses with understanding) regarding implementing, operating and monitoring the Ethics &amp; Compliance Program, its policies and its procedures；</li><li>Contributing to M&amp;A projects from Ethics &amp; Compliance perspective (i.e. compliance Due Diligence) and managing E&amp;C Integration after an acquisition.</li><li>Developing and maintaining good work processes for and contributing to investigation and handling of E&amp;C issues and incidents.</li><li>Ensures good and efficient legal entity structure and governance in China;</li><li>Contribute to development and management of China governance structure..</li><li>Contribute to M&amp;A projects from legal and compliance perspectives and manage legal part of Integrations after successful M&amp;A</li><li>Draft, review and manage a variety of contracts and legal documents. Assess processes, procedures, structures, products and services from a legal and compliance point of view and advise on legal, compliance and reputational risks;</li><li>Perform regular legal risk checks/assessments and provide overview/reports to management.</li><li>Advice and partner on legal matters, execute legal activities and contribute to the development of products and services. Manage the local legal matters in relation with IP and trademarks.</li><li>Monitor and report on laws and regulations developments, assessing the impact for China and its operating units, advise on the implementation phase and contribute on behalf of China to regulatory initiatives, together with the global and local quality team.</li><li>Ensure compliance with all local regulations and legislation.</li><li>Coordinate management of disputes, incidents, claims and litigation and manage external contacts with legal advisors.</li><li>Draft (legal) documents and papers, such as memos, agreements, policies, guidelines and standards, and register and manage contracts according to legal / compliance procedures. Negotiates frame agreements and other contractual terms in collaboration with relevant business managers.</li><li>Advise and represent the organization, with outside counsel as required, on trying or settling court trials/cases.</li><li>Represent the organization in national and international contacts, select and consult external lawyers if necessary and manage the relationship with these external lawyers, according to internal procedures and guidelines.</li><li>A key member of China management team, lead and manage legal and compliance function by executing the China and Legal strategy and team; Exchange and share legal knowledge, contribute to the Group Legal Community, proactively inform management about legal developments and coach more junior colleagues in professional development.</li></ul><p> </p><p>Mandatory Qualifications</p><ul><li>Education: Bachelor's degree or higher in Law from a prestigious domestic or international university. Admitted to the Bar (hold a Legal Professional Qualification Certificate).</li><li>Experience: Minimum of 8 years of legal experience. Experience in MNCs is a strong plus.</li><li>Language: Superior command of both Chinese and English (written and spoken). Must be able to use English as a working language for complex cross-border legal matters and business negotiations.</li><li>Business Acumen: Possesses strong business thinking. Goes beyond simply saying "no" to providing feasible legal advice on "how to" achieve business objectives, effectively balancing risk and reward.</li><li>Communication &amp; Influence: Outstanding cross-functional communication and executive reporting skills. Able to clearly articulate legal risks to non-legal management and drive the implementation of compliance policies internally.</li><li>Resilience &amp; Decision Making: Ability to remain calm during crises (e.g., regulatory investigations, sudden litigation) and make accurate legal judgments and response plans swiftly.</li><li>External Resource Management: Strong network of external law firms and experts.
