<table><tbody><tr><td>Key Responsibilities<ul><li>Build and lead the company's global Legal & Compliance function, including organizational structure, policies, governance mechanisms and operating processes.</li><li>Serve as a trusted legal advisor to the CFO, CEO and senior business leaders on major strategic, commercial and regulatory matters.</li><li>Provide integrated legal support across China, the United States and Europe, coordinating legal matters involving multiple independently operated entities and business teams.</li><li>Lead complex cross-border commercial transactions, strategic partnerships, corporate matters and major contract negotiations.</li><li>Advise on corporate governance, entity management, board matters, investments, M&A and other strategic transactions.</li><li>Establish and continuously enhance the company's global compliance framework, including trade compliance, export controls, sanctions, anti-bribery and other regulatory requirements.</li><li>Oversee data privacy, cybersecurity and cross-border data compliance, including regulatory requirements across China, the U.S. and Europe.</li><li>Manage significant disputes, investigations and litigation, including coordination with external counsel.
